Terms & Conditions
1. Introduction
These Terms and Conditions ("Terms") govern the provision of services by Global Reach ("we", "us", "our") to the client ("you", "your", "the Client"). By engaging our services, requesting a quotation, subscribing to a package, or making payment, you agree to be bound by these Terms.
2. Services Provided
Global Reach provides digital services including, but not limited to:
- Website design and development
- Website hosting, maintenance and security updates
- Digital marketing and basic SEO
- Automation, API and payment gateway integrations
- Branding and design services
- Booking systems, e-commerce platforms and custom web applications
The specific services applicable to you are those described in your selected package, quotation or written proposal.
3. Monthly Subscription Terms
Monthly packages are provided on an ongoing subscription basis. The subscription covers the design, hosting, maintenance and support services listed in the applicable package. The website and related deliverables remain the property of Global Reach for the duration of the subscription, unless a buy-out option is exercised (see clause 7).
Subscription fees may be reviewed annually. You will be given at least 30 days' written notice of any fee adjustment.
4. Payment Terms
- All subscription fees are payable monthly in advance.
- Once-off project fees are payable as set out in the applicable quotation or invoice.
- Payment is due on or before the date specified on the invoice.
- All fees are quoted in South African Rand (ZAR).
5. Suspension for Non-Payment
If payment is not received by the due date, we may suspend any or all services — including taking the website offline — until all outstanding amounts are settled. Suspension does not terminate this agreement, and subscription fees continue to accrue during any period of suspension. We may charge a reasonable reactivation fee following suspension.
6. Client Responsibilities
You are responsible for:
- Providing accurate, complete and lawful content, branding material and information required to deliver the services
- Reviewing and approving work within a reasonable time
- Ensuring you hold the rights to all content, images and material supplied to us
- Maintaining the confidentiality of any login credentials provided to you
- Paying all fees timeously
Delays in providing content or approvals may delay delivery timelines without liability on our part.
7. Website Ownership & Intellectual Property
For monthly subscription packages, the website, source code, design and related deliverables remain the intellectual property of Global Reach until a buy-out option (where offered) is exercised and paid in full.
Where a buy-out option applies (for example, the Growth Package at a website value of R12,500 once-off), 50% of all monthly subscription payments already made will be credited toward the buy-out amount. On receipt of the full buy-out payment, ownership of the website deliverables transfers to you, excluding third-party assets, licences and our pre-existing tools, libraries and frameworks.
For once-off projects (such as the Starter Website), ownership of the final deliverables transfers to you on receipt of full payment, excluding third-party assets and our pre-existing tools.
Your business content, logos and brand assets remain your property at all times. We may display completed work in our portfolio unless you request otherwise in writing.
8. Variations & Out-of-Scope Work
Each package includes only the features and services expressly listed. Any additional work — including extra pages, new functionality, redesigns, content production or integrations not included in your package — is out of scope and will be quoted separately before work commences. Out-of-scope work is billed at our prevailing rates or as agreed in writing.
9. Fair Use & Additional Charges
Monthly packages include fair-use hosting, support, maintenance and content updates. "Fair use" means usage that is reasonable for a business of your size and the package selected. Excess usage and the following items may attract additional charges:
- Excess hosting resources (storage, bandwidth, email volume)
- Third-party fees, licences and subscriptions
- WhatsApp Business API messaging costs
- API usage charges
- Payment gateway transaction and setup fees
- Specialised or custom integrations
Where practical, we will notify you before such charges are incurred.
10. Third-Party Services
Our services may rely on third-party providers, including hosting providers, domain registrars, payment gateways, WhatsApp/Meta, email providers and other APIs. We are not responsible for the availability, performance, pricing changes or policies of third-party services. Your use of third-party services is subject to their own terms and conditions.
11. Support & Maintenance
Support and maintenance included in monthly packages covers keeping the website online, applying security updates, fixing defects in work we delivered, and fair-use content updates where included in your package. Support is provided during reasonable business hours via email or WhatsApp. Priority support applies only where expressly included in your package.
12. Cancellation
Either party may cancel a monthly subscription on 30 days' written notice (email is sufficient). On cancellation:
- All outstanding amounts become immediately due and payable
- Services, including hosting, will terminate at the end of the notice period
- If the website has not been bought out, it remains our property and may be taken offline
- You may exercise an available buy-out option before the end of the notice period
Fees already paid are not refundable except where required by law.
13. Limitation of Liability
To the maximum extent permitted by law, Global Reach shall not be liable for any indirect, incidental, special or consequential damages — including loss of profits, revenue, data or business opportunity — arising from or related to the services. Our total aggregate liability under this agreement shall not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.
We do not warrant uninterrupted or error-free operation of any website, hosting platform or third-party service.
14. Electronic Communication & Acceptance
You agree that communications, notices, quotations, invoices and acceptance of these Terms may take place electronically, including by email and WhatsApp. Acceptance of a quotation, payment of an invoice, or continued use of the services constitutes acceptance of these Terms with the same legal effect as a written signature.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of South Africa. The parties consent to the jurisdiction of the courts of KwaZulu-Natal in respect of any dispute arising from these Terms or the services.
